Representatives present: Randy Wright, Seth Johnson, Lyn Ohira, Mark
Halegua, Kevin Mark, Andrew Schaaf, Harry Pottash, Forest Mars and David
Sugar. Also present were Aaron (a lawyer) and a couple of observers looking
for the latest GNU/Linux activity.
We began with a discussion of the nature of the event, to enable us to
locate an appropriate venue. We are aiming for an event in August 2005 with
roughly 1200 people, and roughly 50 exhibitors. To meet this, we felt we
need to have good plans by this summer. We plan to have commercial and
non-commercial exhibitors and talks, but the non-commercial ones will be
preferred, and the quality of the commercial ones will be monitored. We may
have both paid and unpaid speakers. We need more information about available
locations.
Then Aaron, a lawyer, talked about 501(c)(3). One of the things he mentioned
is that if we collect donations while our status is pending, upon granting
of our status, donations could be made retroactively deductible. Aaron was
not sure about the nature of piggybacking and had no comments on it. He
volunteered to continue to help us pro bono, provided we cover filing fees
and the like.
We discussed the charter. It was well received, with some minor discussion.
We decided to change "New York City" to "the New York area."
We produced a list of participating groups according to our current
understanding, to be announced in these minutes:

NYFU
NYLUG
NYPC
3 Jewels
Debian
LILUG
NYLXS
We discussed the number of people needed to constitute a quorum. Five to
seven seemed reasonable, and we took a vote:
Votes for size of 5: 3
Votes for size of 6: 5
Votes for size of 7: 0
We then took a fifteen minute break.
After the break, our charter was unanimously accepted by a quorum. The full
text of the charter is appended to these minutes.
We resolved to issue the following call:
"The OrgCom Governing Council calls the organizations on the above list who
are not present at this meeting to nominate two representatives to attend
future meetings of the OrgCom Governing Council."
Forest talked about an educational 501(c)(3) which he thought might be
appropriate for our needs. He volunteered to provide its founding documents
to Aaron.
Aaron agreed to review our charter and work with Dario and Forest on matters
related to the legal status for the group.
The mailing list roster was reviewed and revisions were approved for the
administrator to implement.
Our next meeting was unanimously decided upon as Saturday, May 1, at 11:00,
at 116 W. 23rd, an office where Harry and David Chan work.
==== The OrgCom Charter ====
OrgCom is an organization whose first object is the creation and running of
a continuing free software event in the New York area.
OrgCom shall be governed by a Council composed of representatives of
organizations which support the work and objectives of OrgCom.
Each organization at each formal meeting of the governing council will be
allowed to send at most two representatives.
Groups shall be admitted to representation on the Governing Council on the
basis of a simple majority vote of the Council.
A quorum will be defined as six representatives.
Each representative in attendance will have one vote.
Until the first event, OrgCom shall meet at least once each month, except
that they may vote to skip one meeting per year.
The Governing Council shall be the sole judge of qualifications, election
and returns of participating groups and representatives.
